Agreement to Terms
By accessing or using the Relay Studio website, submitting an inquiry, or engaging us for creative services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. If you do not agree with these Terms, please do not use our website or services.
Our Services
Relay Studio provides creative services including brand identity, digital experiences, film, motion, photography, campaigns, creative direction, and related production services.
Project Scope
Every project is based on an agreed scope of work covering deliverables, timelines, revisions, responsibilities, and fees. Requests outside the agreed scope may require additional fees or time.
Fees & Payment
Project fees, deposits, payment schedules, taxes, and approved expenses will be stated in the relevant proposal, quotation, invoice, or project agreement. Relay Studio may pause work where invoices remain unpaid beyond the agreed payment period.
Revisions & Changes
The number of included revision rounds will be defined in the project agreement. Additional revisions, changes to an approved concept, or significant changes in direction may result in additional fees and an adjusted timeline.
Client Responsibilities
Clients are responsible for providing accurate information, required assets, access, approvals, and feedback within the agreed timeframe. Delays caused by missing materials or late feedback may affect project delivery dates.
Third-Party Materials
Projects may include fonts, stock media, music, software, plugins, talent, locations, or other third-party materials. Any applicable licensing costs remain the responsibility of the client unless otherwise agreed.
Intellectual Property
Unless otherwise agreed in writing, rights to final approved deliverables transfer to the client after all applicable fees have been paid in full Unused concepts, rejected work, drafts, working files, creative processes, templates, systems, and pre-existing materials remain the property of Relay Studio.
Pre-Existing Materials
Relay Studio retains ownership of intellectual property, tools, systems, frameworks, processes, templates, and other materials developed independently of the client's project.
Portfolio & Promotion
Unless otherwise agreed in writing, Relay Studio may showcase completed work in its portfolio, website, social media, presentations, case studies, and promotional materials.
Confidentiality
Both parties agree to keep confidential information received during an engagement private and to use it only for purposes related to the project.
Project Cancellation
If a project is cancelled after work has begun, the client remains responsible for completed work, approved work, committed production costs, non-refundable third-party expenses, and other costs already incurred.
Production Delays
Relay Studio will make reasonable efforts to meet agreed timelines but is not responsible for delays caused by circumstances outside its reasonable control, including client delays, supplier issues, technical failures, weather, travel restrictions, or similar events.
Creative Results
Relay Studio provides professional creative services but does not guarantee specific sales, revenue, marketing, audience, engagement, conversion, or other commercial results unless expressly agreed in writing.
Client-Provided Materials
Clients are responsible for ensuring that materials supplied to Relay Studio can legally be used for the intended project and that all required permissions and licenses have been obtained.
Limitation of Liability
To the maximum extent permitted by applicable law, Relay Studio will not be responsible for indirect, incidental, special, consequential, or loss-of-profit damages arising from our website or services.
Indemnification
The client is responsible for the rights and permissions associated with materials they provide and agrees to protect Relay Studio from claims arising from unauthorized client-provided materials or instructions, to the extent permitted by law.
Website Use
You agree not to misuse the Relay Studio website, attempt unauthorized access, interfere with its operation, copy protected materials without permission, or use the website for unlawful purposes.
